How We Came to Be Here
Ferrum Trails was established in Kuala Lumpur by practitioners who had spent years working within and alongside Malaysian company boards — as company secretaries, legal advisers, and independent directors in their own right. What they observed was a consistent gap: boards that wanted to do better but had no neutral partner to think through their situation with.
The name is deliberate. Iron leaves trails — in parchment, in soil, in the marks of careful work done over time. Governance, at its best, is the same: not spectacular, but steady; not declaratory, but traceable.
We are a small practice. That is a considered choice. Small means that the people who take on your engagement are the people who do the work. It means that quality is not diluted through layers of delegation, and that confidentiality is easier to sustain.
Our work is concentrated in three areas: reviewing how boards currently operate, assisting with governance frameworks and documentation, and preparing individual directors for specific responsibilities. Each engagement is handled on its own terms.

Each engagement is led by a senior practitioner. There is no delegation to junior staff without the client's knowledge and agreement.
Rajan Arumugam
Principal Consultant
A former company secretary and independent director with over two decades working in Malaysian corporate governance. Rajan leads Board Practice Reviews and Governance Framework engagements.
Nurul Izyana
Governance Adviser
Nurul brings a background in legal drafting and board documentation. She leads the document work in Governance Framework Advisory engagements and prepares briefing notes for Director Sessions.
Chen Wei Liang
Research & Standards
Wei Liang's focus is on regulatory analysis and the Malaysian governance landscape. He monitors changes to the Companies Act, Bursa Listing Requirements, and MCCG to keep our work current.

These are not aspirations. They are the practical commitments we make at the start of every engagement, and the standards against which our work can be assessed.
Confidentiality Protocol
Client identity and engagement substance are never disclosed. NDAs are available on request; we consider confidentiality binding regardless.
Written Engagement Letters
Scope, fee, timeline, and deliverables are confirmed in writing before any work begins. Nothing is left to subsequent interpretation.
Regulatory Currency
Our advice reflects current Malaysian law — the Companies Act 2016, Bursa Malaysia Listing Requirements, and the Malaysian Code on Corporate Governance (MCCG 2021).
Data Protection
Personal data collected during engagements is handled in accordance with the Personal Data Protection Act 2010 (PDPA) and retained only for the period required.
No Conflicts Accepted
We do not accept engagements where a material conflict of interest exists. If one arises mid-engagement, we disclose it immediately and discuss how to proceed.
Quality Review Process
Every written deliverable — review, document, or note — is reviewed by a senior practitioner before it leaves our hands. Clients may also request revisions within an agreed period.
Our Context
Governance Consulting in the Malaysian Setting
Malaysia's corporate governance landscape has evolved considerably over the past decade. The introduction of the Malaysian Code on Corporate Governance 2021 placed increased emphasis on board composition, the role of independent directors, and the quality of board processes — not merely their formal existence. For many boards, particularly those of private and family-owned companies, these expectations arrived without adequate advisory support to meet them.
Ferrum Trails works at this intersection. Our engagements are designed for boards that want practical, considered input — not a compliance audit and not a management consultancy. We focus on the board as a body: how it organises itself, how its members work together, and how its written frameworks reflect the way it actually wishes to govern.
Our location in Kuala Lumpur is not incidental. The governance environment here — shaped by Securities Commission guidance, Bursa requirements, and the particular dynamics of Malaysian family businesses and government-linked companies — requires advisers who are present in that environment, not remote from it. We keep our practice in this city because that proximity matters.
