Why Ferrum Trails
The Case for Working With a Practice That Does Less
In governance, the quality of an engagement depends on the care given to it — not the scale of the firm providing it. Here is how we think about what we offer.

What Sets This Practice Apart
These are the attributes our clients mention most often when asked why they engaged us — and why they returned.
Senior Practitioner Delivery
Engagements are conducted by the consultants you speak with at the outset — not passed to staff. Board-level conversations require board-level experience.
Malaysian Regulatory Grounding
Our advice is anchored in the Companies Act 2016, MCCG 2021, and Bursa requirements — not adapted from foreign frameworks that may not apply here.
Confidentiality as Standard
Client engagements are never referenced in our marketing or disclosed to third parties. NDAs are offered at the client's request; our commitment to discretion is unconditional.
Written-First Deliverables
Every engagement produces written outputs. Boards do not have to reconstruct verbal advice from memory. The work exists on paper and remains accessible after we have finished.
Scoped Without Ambiguity
Fee, timeline, and deliverables are fixed in the engagement letter. There are no variable time-and-materials charges, no scope creep billed retrospectively.
Collaborative, Not Prescriptive
We present options and frame the considerations. The board retains authority over its own direction. Our role is to support the decision-making process, not to override it.
In Depth
Each Benefit Examined
Depth of Governance Knowledge
Our consultants have served in governance roles themselves — as company secretaries, independent directors, and board advisers. This is not a practice staffed by generalists who have studied governance; it is a practice whose principals have practised it.
That background means we recognise what a board paper in disarray looks like, how a poorly drafted delegation of authority creates ambiguity, and where the patterns that concern directors usually originate.
Structured Engagements, Consistent Outcomes
Each service has a defined scope and a structured delivery process. For a Board Practice Review, that means a set sequence of interviews, document review, meeting observation (where permitted), and written reporting. No review is improvised.
We use secure document management throughout, with client materials handled under a consistent protocol from receipt to destruction at engagement close.

A Considered Client Relationship
We are available throughout an engagement by email and telephone. Directors frequently have questions as a review progresses — we answer them as they arise, not in batched fortnightly updates.
Every written deliverable goes through a senior review before release. Clients may request factual revisions to ensure the written record is accurate before it is finalised.
Fixed Fees, No Ambiguity
Our engagements are priced at a fixed fee disclosed on our website: MYR 4,280 for a Board Practice Review, MYR 3,720 for a Governance Framework Advisory, and MYR 1,120 for a Director Briefing Session. What you see is what you pay.
We do not charge for the initial introductory call, and we do not add disbursements unless travel outside Kuala Lumpur is required, in which case this is agreed separately before any travel is undertaken.
Fee Summary
| Engagement | Fee (MYR) |
|---|---|
| Board Practice Review | 4,280 |
| Governance Framework Advisory | 3,720 |
| Director Briefing Session | 1,120 |
What Clients Walk Away With
Clients completing a Board Practice Review consistently report that the written findings named matters they had sensed but not articulated. That clarity is useful regardless of whether the board then acts immediately or considers over time.
Governance Framework clients receive a complete set of workable documents — board charter, committee terms, delegation matrices — that are built to be used, not filed.

Distinctive Features
What We Offer That Others Do Not
Terms-of-Engagement Tables
Each service concludes with a structured summary table setting out scope, fee, timeline, and deliverables in plain language. Clients can refer to this throughout the engagement without needing to re-read the full letter.
Bench Notes on Deliverables
Our written reports include bench notes — short marginal observations in a different register from the main text, offering points of practical context that the formal report does not carry.
Conflict-Free Standing
We have no affiliated audit, legal, or management consultancy practice whose interests might shape our governance observations. Our advice is not designed to open other service lines.
Curated Reading Lists
Director Briefing Sessions conclude with a short, tailored reading list — not a generic bibliography, but a selection of materials relevant to the specific question the director brought to the session.
